GENERAL TERMS FOR SALES CONTRACT
(August 2020 Edition)

1. Definitions
“Agreement” shall mean the agreement entered into between the Parties and include Purchase Order, Order Confirmation, the Terms and other written documents agreed by the Parties in writing.
“Business Day” shall mean a day that is not a Saturday, Sunday or banking holiday in Korea.
“Buyer” shall mean a buyer which purchases Goods from Seller.
“Goods” shall mean goods to be sold and purchased between the Parties.
“Incoterms” shall mean the latest INCOTERMS 2020 published by the International Chamber of Commerce. Any Incoterms such as FOB and CIF shall be as stated in the INCOTERMS 2010.
“Order Confirmation” shall mean an order confirmation provided by the Seller in response to Buyer’s Purchase Order.
“Parties” shall mean both Seller and Buyer. “Party” shall mean each of Seller or Buyer.
“Purchase Order” shall mean a purchase order placed by Buyer to Seller in connection with the purchase of the Goods.
“Seller” shall mean 회사명 기재 a company duly organized and existing under the laws of the Republic of Korea, with its principal office at _____________________.
“Terms” shall mean these General Terms for Sales Contract.
“USD” shall mean United States Dollars.

2. Effect
2.1 The Agreement between the Parties shall be constituted and binding upon the Parties when the Buyer’s Purchase Order is accepted by the Seller in the form of an Order Confirmation, in which case, the Terms shall apply and legally bind the Parties. If the Buyer fails to propose modification of the Terms until Seller’s Order Confirmation is provided to the Buyer, the Buyer shall be deemed to have acknowledged and accepted the Terms.

2.2. In the event that the terms and conditions of the Purchase Order, the Order Confirmation, the Terms and other written agreements/documents are in conflict, the followings have prevalence in order:
