⑶ The rate of commission payable by Principal to Agent shall be as follows:
⑷ Commission shall become due and to be credited by Principal to Agent's account when the payment for a contract is executed by Agent's client.
⑸ Principal shall make remit- tance of the commission and any other sums due to Agent, if any, quarterly unless otherwise mutually agreed.
⑹ Payment shall be made by a sight draft drawn under a first class bankers' confirmed and irrevocable letter of credit established in favor of Principal prior to the time of shipment stipulated in the Sales Note.
⑺ Agent as well as Principal shall be bound by the terms and conditions set forth on the Sales Note and the back thereof issued by Principal.
⑻ Agent shall at all times and in good faith exercise its best endeavor to protect the interests of Principal by accepting orders and selling the said commodities to reliable buyers. In the event of dispute arising between Principal and a buyer, Agent shall do its best to settle the matter amicably and at the same time shall forthwith inform Principal of the same and shall not take any legal proceeding without the consent of Principal.
⑶ 본인이 대리인에게 지불해야 할 수수료율은 다음과 같다.
⑷ 수수료, 계약품에 대한 지불이 대리인의 거래처에 의해 완료되었을 시, 대리인에게 지불되는 것으로 하며, 이것은 대리인 계정의 대변에 기입하기로 한다.
⑸ 본인은, 만일 달리 특별한 협정이 없는 한, 수수료 외에도 달리 지불해야할 것이 있으면 그것도 포함시켜 4분기마다 대리인에게 송금하기로 한다.
⑹ 대금은 판매약정서속에 약정되어 있는 선적기일전에 일급은행이 본인을 위해 발행한 은행 확인취소불능 신용장에 입각해서 발행되는 일람불 어음에 의해 결제된다.
⑺ 양당사자 공히 본인이 발행하는 판매약정서 서면 및 이면 규정의 금전조건(Terms) 및 기타 조건에 구속된다.
⑻ 대리인은 신뢰할만한 買主에게 상기물품에 대한 주문을 인수 또는 판매함으로써 본인의 이익을 보호하기 위해 언제나 성실하게 최선을 다해야 한다. 본인과 買主 사이에 상사 분쟁이 발생할 경우, 대리인은 그 사건을 친절하게 해결하도록 최선을 다하며, 동시에 이 일에 관해 즉시 본인에게 통고할 것. 그리고 본인의 동의 없이 법적조치를 취해서는 안된다.

⑼ All disputes, controverises, or differences which may arise betwen Principal and Agent out of or in reation to or in connection with this Agreement, or for the breach there of, shall be settled by arbitration in Korea in accordance with the rules of the Korea Commercial Arbitra- tion Association. The award shall be final and binding upon both parties.
⑽ Any alteration to this Agreement shall be made through the mutual negotiation.
⑾ This Agreement shall continue for one year from the date hereof (October 1), and shall be automat- ically extended for another year unless a notice to the contrary is given from one of the parties to the other in writing at least sixty days before the expiry date.

⑼ 본인과 대리인간에 이 동의서 자체로 생기는 혹은 이와 관련 또는 관련해서 생기는 모든 분쟁, 논쟁 또는 의견의 차이 혹은 동의서 불이행에 의한 분쟁 등은, 대한상사 중재원의 규정에 따라서 한국에서 중재에 의해 해결되어야 한다. 중재의 재정은 최종적이며 양당사자를 구속한다.
⑽ 이 동의서의 改訂은 상호 협의를 통해 이루어져야 한다.
⑾ 이 동의서는, 본 동의서 체결 일자인 10월 1일부터 향후 1개년간 계속하기로 한다. 그리고 양당사자 중 한쪽이 상대방에 대해 만기일전 적어도 60일간의 여유를 두고 문서에 의한 해제 예고를 하지 않으면, 이 동의서는 계속해서 향후 1개년간 자동적으로 연장되는 것으로 한다.
